1. Acceptance of Terms

By accessing or using SmartCal Pro ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

SmartCal Pro is a software as a service (SaaS) platform that provides calendar management, email scanning for event detection, and appointment scheduling services. The Service includes:

  • Email scanning for date and event detection
  • Calendar synchronization across platforms
  • Appointment scheduling (Book with Me)
  • Event reminders and notifications

3. Eligibility and Account Registration

You must be at least 18 years of age to use SmartCal Pro. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. We do not knowingly collect information from or provide services to anyone under 18. If we learn that a user is under 18, we will terminate their account immediately.

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Subscription and Billing

SmartCal Pro offers a free tier with limited features and various paid subscription tiers. By subscribing to a paid plan, you agree to:

  • Pay the applicable subscription fees
  • Provide accurate billing information
  • Automatic renewal for successive terms unless you cancel

Subscription Terms

  • Commitment: All paid subscriptions carry a 12-month minimum commitment, billed monthly (web) or annually (iOS).
  • Auto-Renewal: Subscriptions automatically renew for successive 12-month terms. You must cancel to stop renewal.
  • Early Cancellation: If you cancel before the end of your 12-month commitment, you remain responsible for the remaining months in your term.
  • Annual Subscriptions: Payment is taken one month in advance of the renewal date.
  • All Sales Final: All payments are non-refundable. No refunds or credits will be issued for any reason.
  • Immediate Delivery: By subscribing, you consent to immediate delivery of the Service and acknowledge that you waive any applicable cooling-off period.

Free Tier: New users start with a 1-week taste test of Pro features. After the taste test, free tier users retain basic access with 1 email account, 1 calendar, read-only calendar sync, and 1 manual SmartSync per day.

4A. Apple App Store Purchases

If you subscribe to SmartCal Pro through the Apple App Store (In-App Purchase), the following additional terms apply:

  • Payment: Payment is charged to your Apple ID account at confirmation of purchase. All App Store purchases are processed by Apple and are subject to Apple's terms and conditions.
  • Free Tier: A free tier is available on iOS with limited features (1 email account, 1 calendar, read-only sync, 1 manual SmartSync/day). No payment is required for the free tier.
  • Annual Only: iOS subscriptions are billed annually. Monthly billing is available on the web at smartcalpro.com.
  • Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period.
  • Managing Subscriptions: You can manage or cancel your subscription in your Apple ID Account Settings.
  • Cancellation: Upon cancellation, access stops immediately. All sales are final.
  • Refunds: Refund requests for App Store purchases must be submitted through Apple. Visit reportaproblem.apple.com.

5. Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting support. Please note the following important terms:

  • Access stops immediately: Upon cancellation, your access to SmartCal Pro paid features ends right away.
  • All sales final: No refunds will be issued for any reason, including unused portions of your subscription term.
  • Commitment balance: If you cancel before the end of your 12-month commitment, you remain responsible for the remaining balance of your term.

6. No Refund Policy

All payments are non-refundable. We do not provide refunds or credits for any partial subscription periods, unused features, or account downgrades. By subscribing, you consent to immediate delivery of the Service and waive any applicable cooling-off period. We encourage you to use the free tier to evaluate the Service before subscribing to a paid plan.

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Resell or redistribute the Service without authorization
  • Use the Service to send spam or unsolicited communications

8. Intellectual Property

All rights, title, and interest in and to SmartCal Pro, including but not limited to the following, are the exclusive property of A.S. Business Consulting:

  • All software code, algorithms, architecture, and technical implementations
  • The SmartCal Pro name, logo, brand identity, and all associated trademarks
  • All content, features, functionality, user interface designs, and visual elements
  • All documentation, marketing materials, and written content
  • The proprietary email scanning and date detection technology
  • The SmartSync event creation system and methodology
  • All related patents, copyrights, trade secrets, and other intellectual property rights

SmartCal Pro is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

"SmartCal Pro" and the SmartCal Pro logo are trademarks of A.S. Business Consulting LLC. You may not use our trademarks without our prior written consent.

License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal or internal business purposes. This license does not include the right to:

  • Copy, modify, or create derivative works of the Service or any part thereof
  • Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code
  • Sell, resell, license, sublicense, distribute, rent, or lease the Service
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use the Service to build a competing product or service
  • Access the Service for benchmarking or competitive analysis purposes

All rights not expressly granted herein are reserved by A.S. Business Consulting.

User Content

You retain ownership of any data or content you submit through the Service (such as calendar events you create). However, you grant us a worldwide, non-exclusive license to use, process, and store such content solely to provide and improve the Service.

Feedback

Any feedback, suggestions, or ideas you provide regarding the Service become the exclusive property of A.S. Business Consulting and may be used without restriction or compensation.

9. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices regarding your personal information.

10. Third-Party Services

The Service integrates with third-party services (Google, Microsoft, Apple). Your use of these integrations is subject to the respective third-party terms of service and privacy policies.

11. Data Accuracy Disclaimer

SmartCal Pro's email scanning and event detection features are automated and may not be 100% accurate. The Service may:

  • Miss events or dates mentioned in your emails
  • Detect incorrect dates, times, or locations
  • Create duplicate events
  • Misinterpret email content

You are solely responsible for reviewing and confirming all detected events before adding them to your calendar. A.S. Business Consulting is not liable for any missed appointments, incorrect calendar entries, scheduling conflicts, or any consequences arising from reliance on automatically detected events. SmartCal Pro is a tool to assist with calendar management, not a replacement for your own judgment and review.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DETECTED EVENTS WILL BE ACCURATE OR COMPLETE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, A.S. BUSINESS CONSULTING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO MISSED EVENTS, INCORRECT CALENDAR ENTRIES, SCHEDULING ERRORS, DATA LOSS, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless A.S. Business Consulting, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content or data you submit through the Service

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, rather than in court.

Class Action Waiver: You agree that any arbitration or proceeding shall be conducted only on an individual basis and not as a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you waive any right to a jury trial.

Location: Arbitration shall take place in Travis County, Texas, or may be conducted remotely at the arbitrator's discretion.

Exceptions: Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

17. Governing Law

These Terms shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions.

18. DMCA and Intellectual Property Infringement

If you believe that any content available through SmartCal Pro infringes your intellectual property rights, please contact our designated agent with the following information:

  • A description of the copyrighted work or intellectual property claimed to have been infringed
  • A description of the infringing material and its location within the Service
  • Your contact information (name, address, telephone number, email)
  • A statement that you have a good faith belief that the use is not authorized
  • A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the owner
  • Your physical or electronic signature
